The agreement
These terms apply to this website and to Nootus OS, including its AI agents, client portal and messaging (together, the "Service"), provided by Nootus AI, Hyderabad, Telangana, India ("Nootus", "we", "us").
By creating an account or using the Service, the firm or business that holds the account ("you", the "Customer") agrees to these terms. If a signed order form or agreement with us says something different, that document wins for the points it covers.
Who may use Nootus
Nootus is for Chartered Accountant, Company Secretary and Cost Accountant practices, accounting firms, tax practitioners and businesses. Accounts must be opened by a person of at least 18 who can bind the Customer.
A Customer's clients, their staff and contacts may use the client portal and message the Customer through WhatsApp or email. They do so under the Customer's account, and the Customer is responsible for their use.
Accounts and access
You are responsible for everyone you give access to, for the roles and permissions you assign, and for keeping sign-in details safe. Tell us at once at security@nootus.ai if you think an account has been misused.
You decide which staff can approve work, see which clients and view which vault entries. When a staff member leaves, you are responsible for removing or handing over their access.
AI output and approvals
The Service uses AI agents to read documents, answer clients from your records, draft messages and prepare returns, reconciliations and other work. AI output is a draft prepared for your review. It is not professional, legal or tax advice from Nootus.
You remain responsible for your professional work and for everything filed, sent or certified in your name. Filing or submitting to a government authority, moving money, and granting or changing access always wait for approval by a person at your firm. Every AI agent reports to a person you name, who is accountable for its work.
Approvals count only when given inside Nootus by a person with the approve permission. A reply on WhatsApp, email or any other channel is not an approval.
You choose which work goes out automatically and which waits for review. Where you choose automatic sending, you accept responsibility for what is sent within the limits you set.
Messaging rules
Messages to your clients are sent from Nootus's WhatsApp Business number and email addresses on your behalf, and you are the sender of those messages. You must have your clients' opt-in before messaging them, honour opt-outs, and follow Meta's WhatsApp Business policies, the telecom rules on commercial communication and any other law that applies.
We may pause messaging from an account that breaks these rules or puts our number or sending reputation at risk.
Password vault
You may store a client's government portal logins in the password vault only with that client's authority, and only use them for work the client has asked you to do. You are responsible for who in your firm can view them.
Your responsibilities
You agree to:
- give your clients the notices and obtain the consents the DPDP Act and other law require, as the data fiduciary for their data;
- check that the data you put into Nootus is accurate, and review AI output before relying on it;
- keep your own professional obligations, including those of your institute;
- not use the Service for anything unlawful, to send spam, to probe or disrupt the Service, or to copy or resell it;
- not upload malicious files or content you have no right to use.
Plans, trials and payment
Plans are Free, Professional, AI and Premium, for each product. Trials run for 14 days on Professional and AI and 30 days on Premium, on your real account.
Paid plans are billed annually in Indian rupees, in advance, at the price in your order. GST and other taxes are added as the law requires. Payments are processed by Razorpay.
If a trial or paid plan ends without renewal, your account moves to Free and paid features become read-only. Nothing is deleted, and you can still export your data. Our refund and cancellation policy explains cancellations and refunds.
Plans include limits, such as the number of filings and the amount of AI work. We will tell you before you reach a limit.
Your data
You own the data you and your clients put into Nootus. You give us permission to process it only to provide and support the Service, as set out in our privacy policy and DPDP statement. We never use it to train or fine-tune any AI model.
You can export your data at any time while your account is open, and for 30 days after it closes. After that we delete it as our data retention policy describes, except what the law requires us to keep.
Intellectual property
Nootus owns the Service, its software, designs, names and content, other than your data. We give you a non-exclusive, non-transferable right to use the Service for your practice or business while your plan is active.
AI models from third parties used in the Service belong to their providers and are not licensed to you by these terms. You own the output the Service produces from your data, subject to those providers' terms.
If you send us feedback, we may use it without any obligation to you.
Third-party services
The Service connects to services we do not control, such as government portals, banks, WhatsApp, email providers and payment gateways. We are not responsible for their availability, accuracy or changes, including changes to government forms, schemas and due dates.
Availability and changes
We work to keep the Service available and to give notice of planned maintenance. We may improve or change features over time; if we remove a feature you pay for in a way that materially reduces the Service, you may cancel and receive a pro rata refund for the remaining term.
Confidentiality
Each of us will keep the other's confidential information confidential and use it only for the purposes of this agreement, except where the law requires disclosure.
Warranties
We will provide the Service with reasonable skill and care. Apart from that, the Service is provided "as is". We do not promise that it will be error-free or uninterrupted, or that AI output will be complete or correct, which is why your review is required.
Limitation of liability
Neither of us is liable for indirect or consequential loss, lost profits or lost data that could have been avoided by following the Service's approval steps.
Our total liability arising out of or relating to the Service in any 12 months is limited to the fees you paid us for the Service in those 12 months. These limits do not apply where the law does not allow them to, or to fraud.
Indemnity
You will compensate us for claims by third parties arising from data you put into the Service without the right to do so, messages sent in breach of the messaging rules, or your breach of these terms or the law.
Suspension and termination
You may cancel at any time. We may suspend or end access for serious or repeated breach of these terms, non-payment after notice, or where the law requires it. Where we can, we will warn you first and give you time to put things right.
Governing law and courts
These terms are governed by the laws of India. The courts at Hyderabad, Telangana have exclusive jurisdiction over any dispute arising out of them.
Changes to these terms
We may update these terms. If a change is significant, we will tell you at least 30 days before it takes effect. Questions about these terms go to legal@nootus.ai.
